EvoTax — Terms of Service

These terms are an agreement between you and Evolution Africa Innovation Hub ("EvoTax", "we", "us") governing your use of the EvoTax platform. By creating an account or using the service you accept them. If you do not accept them, do not use EvoTax.

1. What EvoTax is — and what it is not

EvoTax is bookkeeping and tax-preparation software. It helps you keep records, compute estimated Ugandan taxes, prepare returns for your review, and track filing deadlines.

EvoTax is not:

  • Not a tax adviser. Figures and explanations produced by EvoTax are estimates and information, not tax, legal, accounting or financial advice, and not a ruling or opinion. They do not create a professional relationship between us.
  • Not a filing agent. EvoTax never submits anything to the Uganda Revenue Authority or any other authority on your behalf. Returns are prepared for you to review, approve and file yourself through URA's own systems.
  • Not affiliated with URA. EvoTax complements URA's eTax and EFRIS systems. It does not replace them and is not endorsed by, connected to, or acting for the Uganda Revenue Authority.

2. Your obligations — verification before filing

You are responsible for your own tax affairs. You must review every figure EvoTax produces and satisfy yourself that it is correct before relying on it, filing it, or making any payment.

You agree to:

  • provide accurate and complete information — EvoTax can only be as correct as the records you give it;
  • check computed figures against the current law, URA guidance, or a qualified professional before filing;
  • file your own returns and make your own payments, on time;
  • keep your login credentials secure, and enable two-factor authentication where offered;
  • use EvoTax only for lawful purposes, and not to evade tax or misrepresent your affairs.

3. Tax rules and accuracy

EvoTax computes from a versioned set of tax rules — rates, bands, thresholds and deadlines — recorded with the dates over which they apply and, where known, the source they came from.

Important — verification status

Some tax rules in EvoTax have not yet been independently verified against the current Acts and URA publications. Where a rule is unverified, EvoTax says so alongside the figure. Where a rule is known to be incomplete or awaiting legislative assent, EvoTax refuses to compute rather than produce a number it cannot stand behind. Do not file a figure derived from an unverified rule without checking it with URA or a qualified tax professional.

Tax law changes. We make reasonable efforts to keep rules current, but we do not warrant that they reflect the law in force at any moment, and you remain responsible for verification.

4. Artificial intelligence features

Some features use third-party AI models to read receipts, parse statements, and explain things in plain language. You should know that:

  • AI never produces your final tax figure. All tax arithmetic is performed by a deterministic calculator from the versioned rules. AI explains; it does not compute.
  • AI output may be wrong or incomplete. Extracted receipt and statement data is presented for your confirmation and does not enter your records until you approve it.
  • To provide these features, relevant content is sent to our AI providers. Your Taxpayer Identification Number is never included.
  • AI features are subject to fair-use allowances and may be limited, suspended or withdrawn.

5. Your data

You own your data. We process it to provide the service, in line with our Privacy Policy and Uganda's Data Protection and Privacy Act 2019.

  • Confidentiality. We do not sell your data or share your business records with other users. Each organization's records are isolated from every other.
  • Security. We apply appropriate technical measures, including encryption in transit and encryption at rest of particularly sensitive fields. No system is perfectly secure and we cannot guarantee absolute security.
  • Sub-processors. We use third parties to host the service, deliver email, monitor errors and provide AI features. They are bound to appropriate confidentiality and security obligations.
  • Your rights. You may export your data at any time and may request deletion of your account and business records from within the application.

6. Availability, and the pilot

EvoTax is currently offered free of charge during a pilot programme. During the pilot:

  • the service is provided as-is, with no service-level guarantee and no promised uptime;
  • features may change, be added or be removed at short notice;
  • we may contact you for feedback about your experience.

If we introduce charges, we will tell you in advance. You will never be charged automatically without your explicit agreement.

7. Limitation of liability

Nothing in these terms excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.

Subject to that, and to the fullest extent permitted by Ugandan law:

  • EvoTax is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any warranty of accuracy, fitness for a particular purpose, or that the service will be uninterrupted or error-free;
  • we are not liable for any tax, penalty, interest, surcharge, assessment or fine assessed against you, nor for any loss arising from a return you filed, a payment you made or failed to make, or a deadline you missed;
  • we are not liable for indirect, incidental, special or consequential loss, or for loss of profits, revenue, goodwill, business or data;
  • our total aggregate liability arising out of or in connection with the service is limited to the greater of (a) the total amount you paid us in the twelve months before the claim arose, or (b) UGX 500,000. While the service is provided free of charge, the amount paid is nil and limb (b) applies.

You accept that this allocation of risk is reasonable given that the service is currently provided free of charge and that you retain responsibility for verifying and filing your own returns.

8. Indemnity

You agree to indemnify us against claims, losses and costs arising from your misuse of the service, your breach of these terms, or your breach of any law — including any use of EvoTax to misrepresent your tax affairs.

9. Suspension and termination

You may stop using EvoTax at any time and delete your account from within the application. We may suspend or terminate access where you breach these terms, where use is unlawful, or where required by law.

If we discontinue the service, we will give reasonable notice and a means to export your data before access ends.

10. Changes to these terms

We may update these terms. Each version carries a number and an effective date. Where a change is material, we will ask you to accept the new version before you continue using EvoTax. Continuing to use the service after accepting means you agree to the updated terms.

11. Governing law

These terms are governed by the laws of the Republic of Uganda, and the courts of Uganda have exclusive jurisdiction over any dispute arising from them.
